This Agreement between Thread Wallets LLC (“Thread Wallets”) and wholesaler (“You”) is effective as of the date the “Accepted” button below is clicked by You. Thread Wallets’ acceptance of your application and wholesale orders is expressly made conditional on Your agreement to these terms and conditions. The terms and conditions set forth on this agreement will govern ALL transactions between the You and the Thread Wallets, unless a separate, fully-executed agreement exists between Thread Wallets and You. Thread Wallets specifically rejects any terms or provisions which set any standards, specifications, or damages related to quality and time of delivery, or which contradict or purportedly claim to supersede these terms and conditions.
By clicking the “Accepted” button at the bottom of this page, You acknowledge and agree (or you are deemed to acknowledge and agree) to these Wholesale Terms and Conditions.
You must place Your wholesale order online via our website at https://wholesale.threadwallets.com, unless agreed upon in writing by the parties prior to your initial order. Once Your account has been established and the terms of this Agreement have been accepted, You will have access to Thread Wallets wholesale pricing via our online store.
You agree to make all payments to Thread Wallets by credit card or PayPal through our online store at https://wholesale.threadwallets.com at the time of checkout. Credit terms may be available to those who qualify. If You violate the credit terms in any way, You agree to pay an additional fee, which will be added to your next order and billed directly to You. Any violation of the payment terms or credit terms may result in the termination of Your wholesale account.
Products must be advertised at or above the Thread Wallets suggested retail price (MSRP). Please refer to the Thread Wallets wholesale website (https://wholesale.threadwallets.com) for current MSRP. Thread Wallets minimum advertised price policy is to provide our retail partners and consumers with a unified advertised pricing structure, maintain the reputation for high-quality products and provide comprehensive warranty and support services. This policy applies to all forms of advertising including internet, catalogs, ads, emails, etc. By ordering wholesale products from Thread Wallets, You agree to not re-sell Thread Wallets products for less than the MSRP unless written permission from Thread Wallets is given for a special promotion. While You are free to conduct business as You choose, Thread Wallets reserves the right to terminate any account it feels violates the suggested retail price.
Prices are subject to change without notice. All merchandise will be shipped at the prices in effect at the time of shipping. Thread Wallets reserves the right, at its sole discretion, to change packaging and any included documentation. All orders are subject to availability.
All Thread Wallets products purchased by You may only be sold in Your brick and mortar retail location(s) and/or through Your online e-commerce site. No distribution through any other means is allowed. In particular, no products or goods purchased from or produced by Thread Wallets shall be resold by or through any third-party online auction or online store (such as Etsy, Ebay, Amazon or other similar sites and marketplaces).
You agree to comply with Thread Wallets’ merchandising guidelines set forth in https://wholesale.threadwallets.com/pages/merchandising. The Thread Wallets branded displays may only be used in connection with the sale of Thread Wallets’ products, and may not be used in connection with any other products. Any violation of Thread Wallets’ merchandising guidelines may result in termination of Your account.
Any and all branded collateral used by You in connection with the sale of any Thread Wallets products must be approved in advance by Thread Wallets. The branded collateral, including any and all images may only be used on Your website or within Your retail location. No alterations, or modifications can be made to the branded collateral without written permission. You are not authorized to allow any third-party to use any Thread Wallets-branded collateral. Any unauthorized use of Thread Wallets’ trademarks, logos, or images may result in termination of Your wholesale account. No alterations shall be made to any Thread assets. You can find authorized assets on the authorized assets page.
Thread Wallets products may not be used as prizes, giveaways, donations, or other promotional items unless specifically pre-authorized by Thread Wallets in writing. Any violations of this provision may result in termination of Your wholesale account.
Any defective or damaged product must be returned to Thread Wallets within 15 days of receipt of goods. Any refund will be credited to the original form of payment within 3-5 business days upon receipt of the returned product. Exchanges and/or buybacks may be offered by Thread Wallets in its sole discretion.

All orders placed through the Thread Wallets wholesale site will be shipped by the method (and associated price) chosen by You at checkout. Any additionally shipment requirements must be negotiated in advance in writing.
The name “THREAD WALLETS,” “THREAD,” and the design are all registered trademarks of Thread Wallets (the “Thread Wallets Trademarks”). The Thread Wallets product design is protected by U.S. Design Patent Nos. D782,189 and D782,190 (the “Thread Wallets Patents”). All images of Thread Wallets products provided to You at https://wholesale.threadwallets.com/pages/merchandising are the sole property of Thread Wallets, and are protected under U.S. copyright laws.
You hereby acknowledge that the Intellectual Property is the sole and exclusive property of Thread Wallets, and that Thread Wallets has the exclusive right to the use thereof on and in connection with the Thread Wallets products. (For purposes of this agreement, the term “Intellectual Property” shall mean and refer to any and all Thread Wallets Trademarks, Thread Wallets, Patents, and all other copyrights, trade secrets, confidential information, signs, and/or packaging associated with or relating to the Thread Wallets products.) You agree that You will not use the Intellectual Property for any reason except as allowed under this agreement. Such use shall not confer to You any interest in the Intellectual Property, and said Intellectual Property shall remain the sole and exclusive property of Bubs First at all times.
You agree that You will take no steps to diminish the value of the Thread Wallets Trademarks. You are granted a limited license to use the Thread Wallets Trademarks only to the extent necessary and only in connection with the marketing and sale of Thread Wallets products. Permission is granted to You to use Thread Wallets photographs, graphics, and text solely in connection with the retailing of Thread Wallets products and only when there is clear attribution to Thread Wallets. Thread Wallets intellectual property shall not be used to promote other brands of products. You agree to exercise care to prevent non-Thread Wallets products from being associated with or attributed to Thread Wallets. You agree that You will not use any confusingly similar trademarks or trade names as Thread Wallets.
You agree that Thread Wallets makes no warranty, express or implied, as to the merchantability of Thread Wallets products. You also agree that Thread Wallets is not liable for any misuse or misrepresentations of the goods by You or the final retail purchaser or consumer, and You agree to indemnify Thread Wallets for any legal actions that emanate from such actions.
Thread Wallets reserves the right to change the terms of this Agreement as necessary. Prices are subject to change without notice. Either party with 30-day written notice can terminate wholesale relationship. The failure of Thread Wallets to exercise or enforce any right or provision of these terms and conditions of sale shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action You may have arising out of or related to these terms and conditions of sale must be filed within one (1) year after such claim or cause of action arose or be forever barred. This Agreement and the terms and conditions set forth herein shall be governed by and interpreted under the laws of the state of Utah without regard to its conflicts of laws principles. The exclusive jurisdiction and venue for any dispute between You and Thread Wallets shall be the state and federal courts located in Salt Lake City, Utah, and You expressly consent to be subject to the jurisdiction of the federal or state courts of Utah. The section titles in these terms and conditions of sale are for convenience only and have no legal or contractual effect.
